Elefta Inc. ("Licensor") provides this internet-accessible software as a service that provides use of Licensor's software related to inventory management of watches and is made available to Licensee on a term-use basis ("SaaS" or "Software").
The SaaS and license grant are for commercial use only by a legally established business, and not for personal use ("Licensee"). If you are not a legally established business using SaaS solely for commercial use, then Licensor may immediately suspend or terminate the SaaS license, access, and SaaS use at any time, without notice.
Licensor provides the SaaS to Licensee under this End User License Agreement ("Agreement"), subject to Licensee's full payment for this license and completion of a separate online order form ("Online Order Form") prior to any access or use of the SaaS.
This Agreement governs Licensee's access and use of the version of the Licensed Software on this website, application program, or mobile site. Access or use of the SaaS constitutes acceptance of this Agreement. If you, Licensee, do not agree to all the terms and conditions contained herein, please do not access or use the SaaS.
Licensor reserves the right to update, amend, and modify this Agreement at any time without notice. Changes to the SaaS may also occur at any time without notice.
Capitalized terms in this Agreement are defined herein or as follows: "Licensed Software" means the Licensor's SaaS provided under this Agreement, together with the user documentation that Licensor makes available in electronic or paper form. "Product Order" means an agreement in the form attached as Exhibit A between Licensor and Licensee. "Third Party Component" means any runtime or other element owned or licensed to Licensor by a third party (other than open-source elements) embedded in the Licensed Software. "Third Party Software" means additional software owned or licensed by a third party that may accompany the Licensed Software.
Subject to Licensee's accurate completion of the Online Order Form and compliance with this Agreement (including payment of all applicable fees), Licensor grants Licensee a limited, revocable, non-transferable, non-sublicensable, and non-exclusive license to access and use the Licensed Software for internal business operations and commercial purposes during the applicable subscription term.
Licensee agrees to implement safeguards against unauthorized copying or use, destroy Licensed Software data before disposing of media or hardware, and not provide SaaS access to any third party, create derivative works, reverse engineer, or build a competitive product.
Licensee acknowledges this is a services agreement—no software copy is delivered. SaaS is provided on a non-exclusive basis.

Licensor shall use reasonable measures to keep Licensee's Confidential Information confidential and disclose it only to employees or contractors assisting in service delivery who have agreed in writing to maintain confidentiality.
The term begins when access is provided or first use occurs ("Effective Date") and continues for one year ("Initial Subscription Term"). The Agreement automatically renews for additional one-year terms ("Subsequent Subscription Term") unless either party provides thirty (30) days' written notice before the term's end.
Licensor may terminate immediately for breach, insolvency, or IP infringement. Upon termination, Licensee's access ceases and all copies must be destroyed. Licensor may terminate for convenience at any time by notice.
The Licensed Software is provided "as-is." Licensor disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.
Licensee shall indemnify, defend, and hold harmless Licensor, its affiliates, and personnel from any claims, damages, or expenses arising from (a) Licensee's breach of this Agreement, (b) violation of law, or (c) negligence or willful misconduct.
The Licensed Software is not designed for environments requiring fail-safe performance. Licensor bears no liability for such uses.
Licensor retains all rights, title, and interest in and to the Licensed Software and related materials. Licensee's rights are limited to the express license granted herein.
Use of any third-party software is subject to that party's terms. Open-source elements are licensed under their respective licenses.
"Confidential Information" includes any proprietary business or technical data, except information that (a) is public through no fault of the recipient, (b) was previously known, (c) is lawfully obtained from a third party, or (d) is independently developed.
Recipient may disclose Confidential Information only to those bound by written confidentiality obligations. Upon termination, Licensee shall delete all Confidential Information and certify compliance.
Licensee shall pay all applicable fees monthly by accepted credit card. All fees are non-refundable and exclusive of taxes. Overdue balances accrue interest at 1.5% per month or the maximum rate permitted by law.
Licensee is responsible for obtaining necessary hardware, software, and third-party tools for SaaS access.
Licensor may audit Licensee's compliance and require remediation and additional license fees for any unlicensed use.
